NDA Template (Non-Disclosure Agreement)
Free Word template for any business sharing confidential information with a client, partner, or contractor.
An NDA is the first document most professional relationships need, before a proposal, before a contract, sometimes before a first real conversation about the work. It protects both sides while you’re still deciding whether to work together.
This is a mutual NDA (both sides are protected, not just one), covering what counts as confidential information, how long the obligation lasts, and what happens to shared materials once the relationship ends.
Not legal advice
This template is general information to help you get started. It is not legal advice. Laws differ by country and situation, so have a qualified professional check it before you rely on it.

Questions
Do I need a lawyer to use this NDA?
This template covers the standard sections most NDAs include, but it's not legal advice. Have it reviewed by a lawyer licensed in your jurisdiction, especially for high-stakes information.
What is the difference between a mutual and a one-way NDA?
A mutual NDA protects both parties’ confidential information, used when both sides will share something sensitive. A one-way NDA only protects one party, typically used when only one side is disclosing information.
How long should an NDA last?
It varies by industry, but 1-3 years for the confidentiality term is common, with the obligation surviving for a defined period after the agreement ends. Put a specific number in Section 5 rather than leaving it open-ended.
Keep every client document in one place.
startbuddi keeps your documents next to the client, the project and the invoice, so nothing lives in a stray folder.
Start with the one thing you need. The rest is there when you're ready.
