What is the difference between a mutual and a one-way NDA?

How long should an NDA last?
It varies by industry, but 1-3 years for the confidentiality term is common, with the obligation surviving for a defined period after the agreement ends. Put a specific number in Section 5 rather than leaving it open-ended.
